TALATUDB provides database management, invoicing, appointments, school reports, and employee attendance services. By using TALATUDB, you agree to use the platform lawfully, protect your API keys, and ensure your data is accurate. We own the platform; you own your data.
1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement
between you ("User", "Customer", or "Organisation") and INDOSABEST LTD ("TALATUDB", "we", "us", or "our"), a technology company registered in Nigeria and headquartered in Azare, Bauchi State.
By creating a TALATUDB account, accessing our platform, or using any of our APIs, you confirm that you have read, understood, and agreed to be bound by these Terms in full.
If you are using TALATUDB on behalf of an organisation, school, hospital, or business, you represent that you have the authority to bind that organisation to these Terms.
If you do not agree with any part of these Terms, you must not use TALATUDB.
2. Description of Services
TALATUDB provides the following cloud-based services through our platform and REST API:
2.1 Cloud Database Management
A no-code platform that allows organisations to create custom database tables, define field types, store records, manage workspaces, and query data without writing SQL. Supports text, number, date, boolean, choice, and image field types and many more.
2.2 Invoice Generation
Tools for creating professional invoices, adding line items, tracking payment status, managing client records, and generating invoice history reports for your business.
2.3 Appointment Scheduling
A scheduling system with real-time chat (powered by Daily.co) that allows organisations to book, manage, and conduct appointments with clients, patients, or students.
2.4 School Report Card Management
A module for educational institutions to store student records, enter academic scores per subject and term, generate formatted report cards, manage class albums, and maintain academic history.
2.5 Employee Attendance Management
A system for tracking staff attendance using attendance tokens, recording daily presence, absence, and leave, generating monthly summaries, and producing attendance reports for payroll and HR purposes.
2.6 REST API
A programmatic interface that allows authorised developers and
organisations to access TALATUDB features including workspace management, invoice generation, and attendance records via authenticated API requests.
We reserve the right to add, modify, suspend, or discontinue any feature or service with reasonable notice to users.
3. Eligibility and Registration
3.1 Age Requirement
You must be at least 18 years of age to register for a TALATUDB account. By registering, you confirm that you meet this requirement.
3.2 Account Registration
To use TALATUDB, you must register with:
- A valid full name and email address
- A business or organisation name
- A secure password
You agree to provide accurate, complete, and current information during registration and to keep this information updated.
3.3 One Account Per User
Each email address may only be associated with one TALATUDB account. Creating multiple accounts to circumvent limits or restrictions is prohibited and will result in suspension of all accounts.
3.4 Account Security
You are responsible for:
- Maintaining the confidentiality of your password and API keys
- All activity that occurs under your account
- Logging out from shared devices
- Notifying us immediately at support@indosabest.com if you suspect
unauthorised access to your account
TALATUDB will not be liable for any loss or damage arising from your failure.
4. Workspaces
4.1 What Is a Workspace
A workspace is an isolated environment within TALATUDB where you can create tables, store records.
4.2 Workspace Ownership
The user who creates a workspace is its Owner. Owners are responsible for all activity within the workspace, including the actions of team members they invite.
4.3 Team Members and Roles
Workspace Owners may invite other users and assign them roles that
control their level of access. Available roles include Admin, Manager, Staff, Branch, Viewer, Editor, Auditor, Developer, HR Officer, Accountant, Teacher, and others as defined in the platform.
You are responsible for ensuring that roles are assigned appropriately and that access is revoked promptly when a team member leaves.
4.4 Workspace Limits
The number of workspaces available to you depends on your subscription plan. See our pricing page for current limits.
4.5 Workspace Deletion
Deleting a workspace permanently deletes all tables, records, and data within it. This action cannot be undone. TALATUDB is not responsible for data lost as a result of accidental workspace deletion.
5. Cloud Database Management
5.1 Your Data
All data you store in TALATUDB tables belongs to you. We do not claim ownership of any content, records, or files you upload to the platform.
5.2 Permitted Use
You may use the database module to store any lawful business,
educational, operational, or personal data, subject to the restrictions in Section 13 (Prohibited Uses).
5.3 Data Accuracy
You are solely responsible for the accuracy, completeness, and legality of data entered into your TALATUDB workspace. TALATUDB does not verify or validate the content of records you create.
5.4 Image Uploads
You may upload images as field values in your tables. You confirm that you own or have the right to upload any image you store in TALATUDB. Images must not contain illegal content. We reserve the right to remove images that violate these Terms.
5.5 Storage Limits
Storage limits depend on your subscription plan. Exceeding your storage limit may result in the temporary suspension of write access to your workspace until you upgrade your plan or delete data.
6. Invoice Generation
6.1 Invoice Accuracy
TALATUDB provides tools to create invoices. You are solely responsible for the accuracy of invoice content, including amounts, tax calculations, client details, and payment terms. TALATUDB does not provide accounting or tax advice.
6.2 Financial Records
Invoices and financial records you create in TALATUDB are your business records. You are responsible for maintaining records in compliance with Nigerian tax law, including the requirements of the Federal Inland Revenue Service (FIRS).
6.3 Payment Processing
TALATUDB does not process payments between you and your clients.
If you use Flutterwave, or any other payment link within your invoices, those transactions are governed by the terms of those payment processors. TALATUDB accepts no liability for payment disputes between you and your clients.
6.4 Invoice Data Retention
Invoice records are retained for 7 years in accordance with Nigerian financial regulations, even after account deletion.
7. Appointment Scheduling
7.1 Appointment Records
You are responsible for obtaining the consent of all participants before creating appointment records in TALATUDB. This is especially important for healthcare, legal, or educational appointment contexts.
7.2 Chat Messages
Messages sent within TALATUDB appointment chats are stored on our
servers and are subject to our Privacy Policy. Do not share passwords, payment card numbers, national identification numbers, or other highly sensitive information through the chat system.
7.3 Video Calls
Video calling within TALATUDB is powered by Daily.co. By using the video call feature, you agree to Daily.co's terms of service in addition to these Terms.
TALATUDB does not record, store, or monitor video or audio content from calls. Video streams pass through Daily.co's infrastructure.
7.4 Call Quality
We make no guarantee of video or audio call quality. Call quality depends on the internet connection of all participants and the performance of Daily.co's infrastructure, which is outside our direct control.
7.5 Participant Consent
You must obtain the informed consent of all participants before conducting video calls through TALATUDB. Recording any call using third-party screen capture tools without all participants' consent may be unlawful under Nigerian law.
8. School Report Card Management
8.1 Student Data
Schools using the Report Card module acknowledge that they are the
Data Controller for all student data entered into TALATUDB.
TALATUDB acts as the Data Processor on the school's behalf.
8.2 Children's Data
Student data frequently involves children under the age of 18.
Schools are responsible for:
- Obtaining appropriate consent from parents or guardians before
entering student data - Ensuring student data is used only for educational purposes
- Complying with the Child Rights Act 2003 and NDPA 2023
- Restricting access to student records to authorised staff only
8.3 Parental Access
Schools are responsible for facilitating any parental or guardian
requests to access, correct, or delete a student's records. TALATUDB will assist schools in responding to such requests upon written request to privacy@indosabest.com.
8.4 Report Card Accuracy
Schools are solely responsible for the accuracy of academic scores, grades, teacher comments, and other report card content entered into TALATUDB. TALATUDB provides tools and templates but does not verify the academic content of report cards.
8.5 Data Retention for Schools
Student academic records will be retained for the duration of the school's active subscription plus 1 year after the subscription ends, to allow the school to export data before it is deleted.
9. Employee Attendance Management
9.1 Employee Data
Organisations using the Attendance module acknowledge that they are the Data Controller for all employee attendance data entered into TALATUDB. TALATUDB acts as the Data Processor.
9.2 Employee Notification
Organisations must inform their employees that their attendance data is being recorded and stored digitally in TALATUDB. Recording
attendance without employee knowledge may violate the NDPA 2023 and applicable employment law.
9.3 Attendance Tokens
TALATUDB provides attendance tokens as a mechanism for employees to check in. Organisations are responsible for the secure distribution and management of these tokens. Sharing tokens between employees undermines the integrity of attendance records and is the organisation's responsibility to prevent.
9.4 Attendance Reports
Monthly attendance summaries generated by TALATUDB are based on
the data entered by authorised managers. Organisations are responsible for verifying the accuracy of attendance records before using them for payroll, disciplinary, or legal purposes.
9.5 Employment Law Compliance
TALATUDB is a data storage and management tool. It is not a legal compliance system. Organisations are solely responsible for ensuring their use of attendance data complies with applicable Nigerian employment law, including the Labour Act and any relevant collective bargaining agreements.
10. API Terms of Use
10.1 API Access
TALATUDB provides a REST API that allows authorised users to programmatically interact with the following modules:
- Workspace Management — create and manage workspaces, tables,
and records via API - Invoice Generation — create, retrieve, update, and delete
invoices programmatically - Attendance Records — submit, retrieve, and export attendance
data via API
10.2 Authentication
All API requests must be authenticated using a valid API key. API keys come in two types:

10.3 API Key Security
You are solely responsible for keeping your API keys secure. Your API keys must not be:
- Shared publicly or committed to public code repositories
(e.g. GitHub, GitLab) - Embedded in client-side code (HTML, JavaScript, mobile apps)
that is accessible to end users - Shared with unauthorised personnel
If you suspect your API key has been compromised, revoke it immediately from your TALATUDB Settings page and generate a new one. TALATUDB is not liable for unauthorised API usage resulting from your failure to secure your keys.
10.4 Rate Limits
API requests are subject to rate limits to ensure fair use and platform stability. Current rate limits are published in our API documentation. Exceeding rate limits will result in temporary request throttling (HTTP 429 responses).
We reserve the right to adjust rate limits at any time. Enterprise customers may request higher limits by contacting sales@indosabest.com.
10.5 Permitted API Use
You may use the TALATUDB API to:
- Build applications that integrate TALATUDB data into your
own systems - Automate data entry, retrieval, and reporting workflows
- Synchronise TALATUDB data with third-party business tools
- Build internal tools for your organisation
10.6 Prohibited API Use
You may not use the TALATUDB API to:
- Resell or sublicense API access to third parties without
prior written agreement with INDOSABEST LTD - Build a competing database management product
- Scrape or bulk-export data from other user workspaces
- Circumvent platform limits, access controls, or billing
- Perform automated attacks, stress tests, or penetration
tests without prior written authorisation - Access any endpoint beyond those covered by your
subscription plan
10.7 API Versioning
TALATUDB may release new API versions from time to time. We will provide at least 90 days' notice before deprecating an API version that is in active use. We recommend always building against the latest documented API version.
10.8 API Availability
We target 99.9% API uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced at least 24 hours in advance via our status page and email notifications.
11. Subscription Plans and Payment
11.1 Plans
TalatuDB offers the following subscription tiers:

11.2 Billing
Subscriptions are billed in advance, monthly or annually. Prices are quoted in USD.
11.3 Payment Methods
We accept payment via:
- Flutterwave
- Direct bank transfer (Enterprise customers)
- Invoiced payment (Enterprise customers)
11.4 Failed Payments
If a payment fails, we will notify you by email. You have 7 days to resolve the payment before your account is downgraded to the Free tier. Your data will not be deleted during this grace period.
11.5 Refunds
We offer a 7-day money-back guarantee for first-time Starter plan subscribers. After 7 days, payments are non-refundable except where required by Nigerian consumer protection law. Enterprise contract refund terms are specified in the individual enterprise agreement.
11.6 Price Changes
We will give at least 30 days' written notice before increasing subscription prices. Price changes will not affect your current billing period.
11.7 Taxes
All prices are exclusive of applicable taxes. You are responsible for any taxes, levies, or duties imposed by Nigerian or international tax authorities on your TALATUDB subscription.
12. Free Plan Terms
The Free plan is provided without charge and without any service level guarantees. We reserve the right to:
- Modify Free plan limits at any time with 30 days' notice
- Discontinue the Free plan with 30 days' notice and an
opportunity for users to export their data
Free plan accounts that have been inactive for more than 12 months may be deleted after 30 days' notice by email.
13. Prohibited Uses
You agree not to use TALATUDB to:
- Store, transmit, or process any data that is illegal under
Nigerian law or the law of your jurisdiction - Upload, store, or distribute child sexual abuse material (CSAM)
or any content that exploits minors — this will result in
immediate account termination and referral to law enforcement - Harass, threaten, or harm any individual or group
- Impersonate any person, organisation, or entity
- Introduce viruses, malware, or any code designed to disrupt,
damage, or gain unauthorised access to our systems - Conduct denial-of-service attacks or any form of automated
abuse against our infrastructure - Circumvent, disable, or interfere with security features
- Use the platform for spam, phishing, or any fraudulent purpose
- Violate any applicable Nigerian or international law or regulation
- Store classified government data without prior written authorisation
- Collect data about TALATUDB users without their knowledge or consent
- Build a competing service using our API or platform
Violation of any prohibition in this section will result in immediate account suspension and may result in legal action.
14. Intellectual Property
14.1 TALATUDB Intellectual Property
The TalatuDB platform, codebase, design, branding, API, documentation, and all related intellectual property are owned by INDOSABEST LTD. Nothing in these Terms grants you any ownership interest in TALATUDB's intellectual property.
14.2 Your Intellectual Property
You retain full ownership of all data, records, files, and content
you create, upload, or store in TALATUDB. By using TALATUDB, you grant INDOSABEST LTD a limited, non-exclusive licence to store, process, and display your content solely for the purpose of providing the service to you.
14.3 Feedback
If you submit suggestions, feature requests, or feedback about TALATUDB, you grant us the right to use that feedback without any obligation to compensate you or keep it confidential.
15. Uptime and Service Levels
15.1 Uptime Target
We target 99.9% platform uptime on a monthly basis, excluding scheduled maintenance windows.
15.2 Scheduled Maintenance
Planned maintenance will be announced at least 24 hours in
advance via:
- Email notification to account holders
- TALATUDB status page
15.3 Service Credits
If platform downtime exceeds our uptime target in any given month, Enterprise customers may request a service credit. Service credits are applied to future invoices and are not redeemable for cash. Free, starter and professional plan users are not eligible for service credits.
15.4 No Guarantee of Uninterrupted Service
Despite our best efforts, we cannot guarantee that TALATUDB will be available at all times. We are not liable for losses arising from temporary unavailability.
16. Data Ownership and Backup
16.1 Your Data Belongs to You
All data you store in TALATUDB is yours. We will never use your operational data for any purpose other than providing the service.
16.2 Data Export
You may export your data at any time in JSON or CSV format from your workspace settings. We strongly encourage regular data exports as part of your own backup strategy.
16.3 Our Backups
We perform automated daily backups for platform resilience. Our backups are for internal disaster recovery purposes and are not a substitute for your own data management and export practices.
16.4 Data on Account Termination
Upon account deletion, your data will be permanently deleted within 30 days, subject to legal retention requirements. After this period, data cannot be recovered. We recommend exporting all important data before closing your account.
17. Third-Party Integrations
TALATUDB integrates with the following third-party services:

Your use of these services through TALATUDB is also subject to each provider's own terms of service and privacy policies. TALATUDB is not responsible for the availability, performance, or data practices of third-party providers.
18. Disclaimers and Limitation of Liability
18.1 No Warranty
TALATUDB is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:
- The platform will be error-free or uninterrupted
- Data stored on the platform will never be lost
- The platform will meet every specific business requirement
18.2 Limitation of Liability
To the maximum extent permitted by Nigerian law, INDOSABEST LTD
shall not be liable for:
- Loss of data, revenue, profits, or business opportunities
- Indirect, incidental, special, consequential, or punitive damages
- Losses arising from third-party service failures (including
Daily.co and Flutterwave) - Losses arising from your failure to maintain adequate data backups
Where liability cannot be excluded by law, our total liability to you for any claim shall not exceed the amount you paid to TALATUDB in the 3 months preceding the event giving rise to the claim.
18.3 Professional Advice
TALATUDB is a data management platform. It does not provide:
- Legal advice
- Accounting or tax advice
- Medical or health advice
- Employment law advice
You should consult qualified professionals for these matters. Do not rely on TALATUDB as a substitute for professional advice specific to your situation.
19. Indemnification
You agree to indemnify, defend, and hold harmless INDOSABEST LTD and its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of TALATUDB in violation of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third party's rights
- Any data you store in TALATUDB that is inaccurate, illegal,
or obtained without proper consent - Any API integration you build that causes harm to users or
third parties
20. Termination
20.1 By You
You may close your TALATUDB account at any time from your account settings. Export your data before closing as deletion is permanent.
20.2 By TALATUDB
We may suspend or terminate your account immediately, without
notice, if:
- You violate any provision of Section 13 (Prohibited Uses)
- You engage in fraudulent, abusive, or illegal activity
- You fail to pay outstanding subscription fees after the
grace period - We are required to do so by law or court order
For less serious violations, we will typically provide a warning and an opportunity to remedy the issue before termination.
20.3 Effect of Termination
Upon termination:
- Your access to the platform and API is immediately revoked
- Your data will be retained for 30 days to allow export,
then permanently deleted - Outstanding invoices remain due and payable
- Sections 14, 18, 19, and 21 survive termination
21. Governing Law and Dispute Resolution
21.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
21.2 Dispute Resolution
In the event of a dispute arising from these Terms or your use of TALATUDB, the parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice of the dispute.
21.3 Arbitration
If negotiation fails, disputes shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act (ACA) 2023 of Nigeria. Arbitration shall be conducted in English in Abuja, Nigeria, or via remote hearing by mutual agreement.
21.4 Jurisdiction
Nothing in this section prevents either party from seeking urgent injunctive relief from a Nigerian court of competent jurisdiction.
22. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Publish the updated Terms on this page with a new effective date
- Send an email notification to all registered users at least
14 days before the new Terms take effect - Display a notice inside the TALATUDB dashboard
Your continued use of TALATUDB after the effective date of updated Terms constitutes your acceptance of the changes.
If you do not agree with updated Terms, you must stop using TALATUDB and close your account before the effective date.
23. General Provisions
23.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable enterprise agreement, constitute the entire agreement between you and INDOSABEST LTD regarding TALATUDB.
23.2 Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
23.3 Waiver
Our failure to enforce any provision of these Terms at any time does not waive our right to enforce it in the future.
23.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor in the event of a merger, acquisition, or sale of assets.
23.5 Force Majeure
TALATUDB is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, internet outages, power failures, government actions, or civil unrest.
23.6 Language
These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version prevails.
